Mars Software and AI Solutions

1. Introduction

These Terms and Conditions govern all services provided by Mars Software and AI Solutions (“Company”) to its clients (“Client”). By engaging with our services, the Client agrees to be bound by these terms.

2. Scope of Services

Services include, but are not limited to:

  • Website design and development
  • ERP/CRM system implementation
  • Software customization and consulting
  • Hosting, support, and maintenance services

Detailed scope will be defined in individual proposals or Scope of Work (SOW) documents.

3. Commercial Terms & Payments

  • All projects require an initial upfront payment as specified in the quotation
  • Remaining payments must be made as per agreed milestones or instalment plan
  • The remaining payments shall be settled in accordance with the agreed milestones or installment plan, with each installment due on or before the 19th day of every month.
  • Payments must be made based on the prevailing USD selling rate (if applicable)
  • In the event of delayed payment, the Company reserves the right to suspend the project, and interest shall be levied on the outstanding amount up to the date of full settlement.

4. Project Execution & Timelines

  • Project timelines depend on timely client inputs and approvals
  • Any delays from the client side may impact delivery timelines
  • The Company is not liable for delays caused by lack of client response or incomplete information

5. Client Responsibilities

The Client agrees to:

  • Provide accurate content, images, and requirements
  • Approve designs and deliverables within a reasonable timeframe
  • Ensure all provided materials comply with legal and copyright requirements

6. Revisions & Change Requests

  • The project includes a limited number of revisions as defined in the SOW
  • Any additional changes or new requirements outside the agreed scope will be treated as separate work and may incur additional charges

7. Ownership & Handover

  • Full ownership of the final deliverables will be transferred to the Client only upon full payment completion
  • Until full payment is received, the Company retains rights to the system and deliverables

8. Hosting & Subscription Services

  • Hosting and system access may be provided under a subscription model
  • Subscription fees are billed monthly or annually as agreed
  • Failure to maintain active subscription may result in service interruption

9. Support & Maintenance

  • A limited complimentary support period may be provided after project delivery
  • Ongoing support and maintenance are available under separate support plans
  • Support scope is limited to agreed services only

10. SEO & Performance

  • Basic SEO setup may be included as part of the project
  • The Company does not guarantee specific rankings on search engines
  • Advanced SEO services are offered separately

11. Data Security & Hosting

  • Systems are hosted on secure infrastructure aligned with industry standards
  • While reasonable measures are taken, the Company is not liable for external breaches, cyberattacks, or third-party failures

12. Third-Party Services

  • The project may include integration with third-party services (e.g., domain providers, email services)
  • The Company is not responsible for downtime or issues caused by third-party platforms

13. Confidentiality

Both parties agree to maintain confidentiality of all sensitive information shared during the project. Additional confidentiality obligations may be defined under a separate NDA.

14. Termination

  • Either party may terminate the project with written notice
  • Payments made are non-refundable once work has commenced
  • Work completed up to termination will be billable

15. Limitation of Liability

The Company shall not be liable for:

  • Indirect or consequential damages
  • Loss of business, revenue, or data
  • Issues arising from misuse of the system

16. Governing Law

These Terms & Conditions shall be governed by the laws of Sri Lanka.

17. Acceptance

By approving a quotation or engaging our services, the Client confirms acceptance of these Terms & Conditions.
